·  Counsel to investment company acquiring two limited service hotels in North and South Carolina, including senior and mezzanine financing of $19,000,000.

·  Counsel to buyer in acquisition of a limited service hotel in New Orleans and a $12,000,000 mortgage.

·  Counseled a national retailer in the acquisition and development of multiple big-box shopping center locations and expansions in New York.

·  Represented an athletic club in negotiating a commercial lease for tennis facilities.

·  Prepared user and vendor agreements, privacy policies, and governing documents for a group-buying company in Colorado and a short term office brokerage in New York. 

·  General counsel support to New York City based office space leasing and management company.

·  Negotiated the sale of a property below the note value on behalf of the seller in a real estate transaction.

·  Negotiated contracts and conducted due diligence for numerous buyers in various jurisdictions on the purchase of residential properties, which included conducting due diligence and contract negotiations.

·  Successfully negotiated a long term lease for a restaurant in Colorado and provided counsel regarding company formation and operating agreements. 

·  Counsel to foreign bank making a $175,000,000 loan secured by a pledge of a note and mortgage encumbering the New York Times Building in New York City.

·  Counsel to governmental issuers with their economic development, public revenue finance and taxation programs, specifically in the area of housing, including work on financings and other matters for the Nassau County Industrial Development Agency, the Nassau County Bridge Authority, and the Water Authority of Western Nassau County.
